General Provisions:

This HerScan User Agreement ("Agreement") constitutes a legally binding agreement between you and HerScan LLC and its affiliates (collectively, "HerScan", "we", "us" or "our"). 

HerScan provides elective breast ultrasound screening services via mobile units across the United States (the “Services”). These services are not a substitute for mammography or regular medical care.  

This Agreement governs your access to and use of the HerScan breast scanning services (the “Services”) and the HerScan websites including, https://www.herscan.com (the "Sites"). The Services and Sites are offered and made available only to users who are 18 years of age or older. By using the Site or obtaining the Services, you represent and warrant that you are at least 18 years of age and able to form a binding contract with us. If you do not meet all these requirements, you must not access or use the Site or obtain Services.

THE SERVICES PROVIDED BY HERSCAN ARE FOR YOUR PERSONAL INFORMATION ONLY.  HERSCAN SERVICES ARE NOT INTENDED TO DIAGNOSE, TREAT OR PRESCRIBE FOR ANY DISEASE OR MEDICAL CONDTION.  

HERSCAN DOES NOT PRACTICE MEDICINE AND IS NOT A LICENSED HEALTHCARE PROVIDER.  THE SERVICES ARE INTENDED TO PROVIDE YOU WITH INFORMATION ABOUT THE RESULTS OF A BREAST SCAN OBTAINED IN A NON-CLINICAL SETTING.  THE INFORMATION PROVIDED TO YOU THROUGH THE SITE, OR BY YOUR ACCESS TO OR USE OF HERSCAN SERVICES, SHOULD NOT BE REGARDED AS MEDICAL OR HEALTH CARE ADVICE, DIAGNOSIS OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH CARE PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING THE INTERPRETATION OF YOUR SCAN RESULTS, OR ANY OTHER MEDICAL CONDITION OR HEALTH RELATED ISSUE YOU MAY HAVE. NEVER DELAY OBTAINING MEDICAL ADVICE FROM A LICENSED MEDICAL PROFIESSIONAL OR DISREGARD MEDICAL ADVICE  BECAUSE OF INFORMATION YOU ACCESSED ON OR THROUGH OR BY WAY OF THIS SITE OR THE SERVICES.

IN THE CASE OF A HEALTH EMERGENCY, SEEK IMMEDIATE ASSISTANCE FROM EMERGENCY PERSONNEL.

You agree to comply with this Agreement, all applicable laws, and other applicable HerScan policies, practices, and notices provided or referenced herein at all times when using the Site and/or obtaining HerScan services.

HerScan expressly disclaims all warranties and responsibilities of any kind, whether express or implied, for the accuracy or reliability of the content of any information contained in this Web Site. While we have made a concerted effort to provide you with the best possible information, this website is not a substitute for a visit with your healthcare professional, and any reliance upon or use of this information by you is at your own independent discretion and risk.

HerScan may change or amend this Site or its Services at any time. Such changes will be effective immediately upon posting and will be communicated on this Site. Your continued use of the Site means that you accept these changes.

YOU AGREE TO BE BOUND BY THIS AGREEMENT WHEN YOU CLICK “AGREE" AND/OR CONTINUE TO ACCESS OR USE THE SITE OR OBTAIN HERSCAN SERVICES. IF YOU DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT ACCESS OR USE THE SITE OR OBTAIN SERVICES.

HerScan Screening Services

Because no screening test can screen for every condition, it is possible to have a normal screen with HerScan and still have a medical condition that requires attention by a medical professional.  Our screenings do not detect all forms of breast conditions or result in a medical diagnosis or replace regular contact and follow-up with your physician. All results should be followed up with a licensed medical provider.  Do not delay, regardless of your HerScan results.

User Payment Responsibility

HerScan does not file insurance claims and does not participate in any private or governmental payment or reimbursement programs.  The cost of our screening services is not covered by most insurance policies and are not covered or reimbursable by third party payors. Users of HerScan services are personally responsible for payment in full at the time Services are provided.

Communication - Mail, Email, Phone Calls and Texts

By using HerScan services, or when you create an account with HerScan, if you provide your contact information, you agree to receive information from us related to your HerScan appointments, services and screening results including by way of phone, mail, emails and text messages to the contact information you have provided

If you have any questions about receiving communications from us, please contact us using the information in the "Contact Information" section below. To unsubscribe from calls, use the information provided in the Contact section below. To unsubscribe from texts, follow the instructions provided in the message. 

Please note that obtaining services from HerScan is never contingent upon you agreeing to receive marketing communications from us.

Unless you opt out as provided for below, we may send you communications related directly to services you receive from HerScan, such as appointment reminders, instructions, scan results or other information pertaining directly to your scan. 

HerScan reserves the right to block communication to or from you to protect our systems and user data or if we believe there has been a breach of or attempted breach of this Agreement.

HerScan may send you an SMS message for appointment, and service notifications, including appointment confirmations, appointment reschedule confirmations, appointment cancellation confirmations, service notifications, results notifications, and other notifications directly related to the services you have purchased from HerScan. If you are experiencing any issues with the messaging program you may reply with the keyword “HELP” for more assistance.

You can opt-out to of receiving SMS at any time by texting "STOP". You will receive confirmation to STOP, and then you will no longer receive SMS messages from HerScan or our short code. If you want to join again or have additional questions call our team at 1-800-338-7499.

We are able to deliver messages to most major cell phone carriers. Message frequency varies. Message and data rates may apply. Note that carriers are not liable for delayed or undelivered messages.

Intellectual Property

All content on the HerScan website—including text, graphics, logos, icons, images, and software—is the property of HerScan LLC or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws. None of HerScan related names, trademarks, service marks, copyrights and logos appearing on the HerScan website may be used without the express written permission of HerScan. 

This User Agreement permits you to use the site for your own personal, non-commercial use only. Any other use requires the express written permission of HerScan. Please contact us if you have any questions about your use of our online services or this Site.

Registration and Passwords

Our Site may permit or require you to register or obtain a password prior to permitting you to access certain portions of our online services or Site. You acknowledge and agree that you are responsible for maintaining the confidentiality of your login ID and password, and for all uses of your login ID, password, and/or Account. You agree to notify us immediately of any unauthorized use of your login ID, password, or Account, or any other breach of security involving access to our Site or Services through your Account. You acknowledge that you may be held liable for any loss or harm incurred by us or any other person or entity due to someone else using your login ID, password, or Account in the event you fail to keep your Account information secure and confidential.

Severability

If any provision of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of this Agreement shall remain in full force and effect. Any provision of this Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable. The parties further agree to replace such invalid or unenforceable provision of this Agreement with a valid and enforceable provision that will achieve, to the extent possible, the economic, business, and other purposes of such invalid or unenforceable provision.

Applicable Law

This Agreement shall be construed in accordance with the laws of the State of Delaware. Any dispute between HerScan and you related to this Agreement shall be resolved exclusively by the state and federal courts of the State of Delaware.

Online services can be accessed from the United States and other countries worldwide. Since the laws of each State or country may differ, you agree that the statutes and laws of the State of Delaware will apply to all matters relating to your access to or use of  HerScan Services and this Site.

HerScan makes no representation that material on this Site is appropriate or available for use in other locations and accessing this information from territories where the content is illegal is prohibited. Those who choose to access this Site or our products or services from other locations do so by their own initiative and are responsible for compliance with local laws.

Limitation of Liability and Disclaimer of Warranty

THE HERSCAN SERVICES INCLUDIING THE ONLINE SERVICES AND ALL INFORMATION AND SERVICES INCLUDED IN OR AVAILABLE THROUGH OUR WEBSITE OR OUR ONLINE USER PORTALS, INCLUDING THE RESULTS OF SCANS OBTAINED THROUGH HERSCAN, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THE EXCLUSION OF IMPLIED WARRANTIES.

UNDER NO CIRCUMSTANCES SHALL HERSCAN OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SCANS OR OTHER SERVICES OBTAINED FROM HERSCAN OR THE USE OF, OR INABILITY TO USE, THE ONLINE SERVICES. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN THE EVENT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES TO THE EXTENT INDICATED ABOVE, OUR LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THIS AGREEMENT AND THE ONLINE SERVICES WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS.
